Miller Dental Operations & Billing Services LLC ("Miller Dental", "we", "us", or "our") provides an outsourced dental service platform ("platform") consisting of various technology, software, databases, information, networks, and support services, as well as our websites and all associated and related sites, whether connected by direct link or otherwise (the "Site"). These terms of use (the "Terms of Use") cover your access and use of (a) the Site and all associated and related sites, whether connected by direct link or otherwise (collectively, the "Site") and (b) all products and services accessed, used or provided through the Site or platform, regardless of whether Miller Dental or third parties are providing the same (the "Services").

Your use of the Site and the Services is subject to your compliance with the Terms of Use, your compliance with all other written agreements you may have with us or any of our Affiliates, including payment of all applicable platform fees, and your compliance with all posted rules applicable to the Services that may contain terms and conditions in addition to those in these Terms of Use.

YOU AGREE TO THESE TERMS OF USE, EFFECTIVE IMMEDIATELY, BY CREATING AN ACCOUNT, BY USING THE SITE OR PLATFORM, OR BY PURCHASING, ACCESSING OR USING ANY OF THE SERVICES. IF YOU DO NOT AGREE, THEN DO NOT CREATE AN ACCOUNT, DO NOT USE THE SITE OR PLATFORM, AND DO NOT PURCHASE, ACCESS OR USE ANY OF THE SERVICES.

The Terms of Use may be updated periodically. We reserve the right to change the Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review the Site and the Terms of Use from time to time and to familiarize yourself with any modifications. Your continued use of the Site or platform or receipt of the Services after such modifications will constitute acknowledgement of the modified Terms of Use and agreement to abide and be bound by them.

By agreeing to our Terms of Use, you consent to receive communications from us electronically, including account updates, order confirmations, and service alerts. Message and data rates may apply.

As used in these Terms of Use, references to our "Affiliates" include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers.

To access certain features of the Site or platform or receive the Services, you may need to register for an account. You agree that all information provided during registration is true and accurate and that you will maintain and update this information as required to keep it current, complete, and accurate. You are responsible for maintaining the confidentiality of your account access information and restricting access; you must immediately notify Miller Dental of any unauthorized use or any other security breach.

The total liability of Miller Dental Operations & Billing Services LLC for any claim arising out of or relating to these terms shall not exceed the amount paid by the client for services during the twelve months preceding the claim.

Miller Dental Operations & Billing Services LLC provides dental billing services including but not limited to insurance verification, claims submission, payment posting, accounts receivable management, and denial management for dental practices. Detailed service descriptions are available upon request and will be specified in individual service agreements.

A binding contract between Miller Dental Operations & Billing Services LLC and the client is formed upon the client's acceptance of our proposal or upon signing a service agreement. Electronic signatures and agreements shall have the same effect as physical signatures and agreements.

Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 10 days of issuance. We accept payment via check and major credit cards. Late payments may be subject to late fees and/or interest charges as permitted by law.

Either party may terminate the service agreement with 60 days' written notice unless otherwise specified in the individual service agreement. Upon termination, all outstanding payments become immediately due, and we will return or transfer all client data as directed by the client (if applicable).

Before filing a claim against Miller Dental Operations & Billing Services LLC, you agree to attempt to resolve the dispute informally by contacting us. If we are unable to resolve the dispute informally, both parties agree to resolve any claim, dispute, or controversy through binding arbitration in accordance with the rules of the American Arbitration Association.

Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor we will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.

These terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Any legal action or proceeding relating to your access to or use of our services shall be instituted in state or federal courts located in Williamson County, Texas. You and Miller Dental Operations & Billing Services LLC agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.

These Terms of Use, together with any applicable service agreements, constitute the entire agreement between you and Miller Dental Operations & Billing Services LLC regarding our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
